These Terms of Service ("Terms") govern your use of the Smart Metrics AI Atlassian Marketplace app ("the App", "we", "our"). By installing or using the App, you agree to these Terms.
1. Acceptance of Terms
By installing, configuring, or using Smart Metrics AI, you ("User", "you") agree to be bound by these Terms. If you are installing the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not install or use the App.
2. Description of the App
Smart Metrics AI is an Atlassian Marketplace app that provides engineering metrics, delivery forecasts, and flow analysis dashboards for teams using Jira Cloud. The App is built on the Atlassian Forge platform and operates entirely within your Atlassian tenant.
3. License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App within your Atlassian Jira Cloud instance solely for your internal business purposes.
4. Permitted Use
You may use the App to:
- Analyze engineering metrics and delivery performance of your Jira projects
- Configure project mappings and team settings
- View forecasts, trends, and flow health indicators
5. Prohibited Use
You agree not to:
- Reverse engineer, decompile, or disassemble the App
- Attempt to extract, copy, or replicate the App's source code for redistribution
- Use the App in any way that violates applicable laws or regulations
- Use the App to process data you are not authorized to access
- Resell, sublicense, or commercially redistribute the App outside of your organization
6. Atlassian Platform Terms
Your use of the App is also subject to Atlassian's terms and conditions, including:
In the event of a conflict between these Terms and Atlassian's terms, Atlassian's terms shall prevail with respect to the platform.
7. Intellectual Property
All intellectual property rights in the App, including its code, design, algorithms, and documentation, are owned by the App developer. Nothing in these Terms transfers any intellectual property rights to you.
Your Jira data remains your property. We claim no ownership over any data processed by the App.
8. No Warranty
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The App will be error-free or uninterrupted
- The metrics and forecasts produced by the App are accurate or suitable for any specific business decision
- The App will meet your specific requirements
Engineering metrics and Monte Carlo forecasts provided by the App are statistical estimates based on historical data. They are not guarantees of future performance and should not be used as the sole basis for business-critical decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless the App developer from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the App in violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access to the App if you violate these Terms. You may terminate your use at any time by uninstalling the App from your Jira instance.
Upon termination:
- Your license to use the App ends immediately
- All App storage data associated with your tenant will be deleted in accordance with Atlassian Forge's data lifecycle policies
12. Modifications to the App and Terms
We reserve the right to modify the App or these Terms at any time. Material changes to these Terms will be communicated via the Atlassian Marketplace listing. Continued use of the App after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the App developer is located, without regard to its conflict of law provisions.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
